Non-Disclosure Agreement (NDA)

This agreement is made between:

1. Purpose. The parties wish to share confidential information for the purpose of: ________________________.
2. Confidential information. “Confidential information” means any non-public information shared between the parties, whether written or oral, marked confidential or reasonably understood to be confidential.
3. Obligations. Each party will keep the other’s confidential information secret, use it only for the purpose above, and not disclose it to third parties without written consent.
4. Exclusions. Confidential information does not include information that is public, already known, independently developed, or lawfully received from someone else.
5. Term. These obligations apply for ____ years from the date of signing.
6. Return or deletion. On request, each party will return or delete the other’s confidential information.
7. No licence. Nothing here grants any ownership or licence beyond the stated purpose.
8. Signatures. Both parties confirm they have read and agree to these terms.
